1. Agreement and relationship to other terms
These Provider Terms & Conditions (“Provider Terms”) form a binding agreement between NEW-LEAF-HOME-ASSIST WEB PORTAL SERVICES (“New Leaf Home Assist,” “we,” “our,” or “us”) and each individual professional, company, emergency partner, applicant, technician, or other person offering or performing services through the New Leaf Home Assist website, platform, or future mobile application (“Provider,” “you,” or “your”).
By applying, uploading documents, accepting approval, maintaining a listing, receiving a lead, accepting or performing a job, or using Provider tools, you agree to these Provider Terms, the general Terms & Conditions, and the Privacy Policy. If documents conflict, these Provider Terms control Provider-specific matters.
2. Definitions
“Platform” means New Leaf Home Assist websites, apps, portals, communications, dispatch, AI, profile, review, booking, subscription, and payment tools. “Customer” means a homeowner, tenant, motorist, business, or authorized person requesting services. “Services” means home repair, maintenance, roadside, locksmith, plumbing, electrical, cleaning, pest control, roofing, automotive, emergency, or related work offered by a Provider. “Job” means a request, lead, booking, assignment, or service engagement. “Provider Personnel” means owners, employees, technicians, subcontractors, drivers, or representatives used by a Provider.
3. Eligibility and authority
An individual Provider must be at least 18, legally capable of contracting, authorized to work, and qualified to perform each offered Service. A business applicant must be duly formed or lawfully operating and its representative must have authority to bind it. You must maintain a valid account, reachable contact details, a lawful service address, and accurate tax and payout information when required.
Approval is personal to the approved individual or entity. You may not sell, transfer, lend, share, or permit unauthorized use of an account. A company must register and supervise each person who will access Customer information or perform a Job. You remain responsible for Provider Personnel.
4. Verification and continuing disclosure
You must provide complete, accurate, current, and authentic information and documents reasonably requested for identity, background, business, licence, insurance, vehicle, credential, certification, or safety verification. This may include government identification, selfie verification, NBI clearance, business registration, mayor’s permit, professional or trade licence, insurance certificate, vehicle records, and references.
Verification, approval, or a badge reflects only the information checked at a point in time. It is not an endorsement or guarantee. You authorize reasonable verification with issuing bodies or lawful verification partners and must promptly disclose expiry, suspension, investigation, complaint, conviction relevant to safety or trust, ownership change, insolvency, or any fact that could affect eligibility. We may request renewed documents, conduct periodic review, or remove a badge.
5. Service standards and professional conduct
Providers must:
- respond honestly, arrive within agreed windows or promptly notify the Customer, and perform only Services they are competent and equipped to provide;
- inspect conditions, explain the proposed scope, risks, parts, exclusions, estimated time, total price and material changes before proceeding;
- use due care and skill, suitable materials, safe methods, protective equipment, and comply with codes, permits, manufacturer instructions, environmental requirements, and applicable Philippine law;
- treat Customers, occupants, staff, property, vehicles, animals, and other Providers respectfully and without discrimination, harassment, intimidation, or exploitation;
- protect premises and vehicles, maintain cleanliness, document work honestly, provide receipts and warranties required by law or promised, and return property or keys;
- avoid alcohol, illegal drugs, weapons, threats, unsafe driving, smoking where prohibited, misrepresentation, unnecessary work, price baiting, or pressure selling;
- immediately report serious injury, damage, crime, data exposure, or safety incidents and cooperate with a reasonable investigation.
Emergency Partners must maintain readiness appropriate to their advertised availability, but must never represent themselves as police, fire, ambulance, public disaster response, or another authority unless legally authorized.
6. Licences, permits, insurance, personnel, and vehicles
You are solely responsible for determining and maintaining every licence, permit, registration, accreditation, clearance, insurance policy, bond, training, equipment inspection, vehicle authorization, and professional qualification required for your Services and operating area. You must maintain commercially reasonable insurance appropriate to risks, including public liability, vehicle, workers’ compensation or employer coverage where applicable, and provide evidence on request.
You are responsible for wages, benefits, taxes, statutory contributions, safety, supervision, background checks, and conduct of Provider Personnel. You must not send an undisclosed, unqualified, unverified, or unlicensed person where credentials are required. Vehicles must be safe, lawful, insured, and fit for dispatch.
7. Leads, acceptance, scheduling, and completion
A lead or alert is an opportunity, not a guaranteed Job or payment. Unless an emergency dispatch arrangement states otherwise, you may accept or decline based on genuine capacity. Once accepted, you must communicate promptly, honor the agreed arrival and scope, and update Job status accurately. Do not mark a Job complete before the work is finished or misstate arrival, materials, price, or outcome.
Before-and-after media, work notes, materials, signatures, and final cost must be accurate and uploaded only where lawful and relevant. Obtain permission before photographing people, private documents, or areas beyond the work. If a Job is unsafe, unlawful, materially different, or beyond your competence, pause and explain the issue; contact emergency authorities where necessary.
8. Pricing, subscriptions, commissions, and future payments
You are responsible for lawful, honest, and transparent pricing. Disclose call-out, diagnostic, labor, material, transport, parking, toll, permit, tax, emergency, cancellation, and after-hours charges before they are incurred. Platform estimates are guidance and do not replace your quotation. Obtain Customer approval for material changes and provide any invoice or official receipt required by law.
Provider plans may govern lead limits, listing features, badges, analytics, ranking, or other benefits. Current plan terms and price shown at purchase apply until changed or cancelled. We may introduce disclosed commissions, processing charges, payout schedules, reserves, refunds, or chargeback rules. No fee applies retroactively. If in-platform payment is enabled, you authorize our payment partners to process Customer payments and Provider payouts, deduct agreed amounts, perform verification, and hold or reverse funds reasonably associated with refunds, fraud, disputes, legal obligations, or chargebacks. You remain responsible for taxes and registration.
9. Customer data, confidentiality, and communications
Customer names, telephone numbers, locations, property or vehicle details, issue descriptions, media, access instructions, and communications are provided only to assess and perform the relevant Job. You must keep them confidential, secure access, limit them to authorized personnel, and not copy, sell, publish, retain unnecessarily, or use them for unrelated marketing. Do not contact a Customer after the Job except for legitimate follow-up, warranty, payment, complaint, or consented communication.
You must comply with the Data Privacy Act of 2012 and applicable National Privacy Commission rules when independently controlling Customer or personnel data, maintain appropriate safeguards, respond to lawful rights requests, and promptly notify us of suspected loss, unauthorized access, disclosure, or breach involving Platform data. When acting on our documented instructions, use the data only for those instructions.
10. Reviews, ratings, profiles, and marketplace integrity
Customers may submit ratings and reviews. We do not guarantee favorable feedback and will not remove an honest review merely because it is negative. You may report content believed to be fraudulent, abusive, irrelevant, unlawful, or privacy-invasive. You must not buy, fabricate, trade, coerce, suppress, retaliate over, or manipulate reviews; create false Customer accounts; or offer undisclosed incentives conditioned on a rating.
Your public profile must be accurate and must not misuse another party’s name, marks, photographs, credentials, prices, or achievements. We may order, label, or rank listings using availability, relevance, distance, response, quality, completion, complaints, plan benefits, and other disclosed or legitimate factors.
11. Complaints, refunds, rework, and cooperation
Complaints about quality, price, lateness, damage, conduct, warranty, or incomplete work should first be addressed promptly and professionally between you and the Customer. You must preserve relevant records, respond within requested periods, and offer legally required correction, re-performance, refund, warranty, or remedy. We may facilitate communication, collect evidence, pause access or payouts, and propose a resolution, but we are not the arbitrator or guarantor of the service outcome.
Serious safety, fraud, discrimination, privacy, or repeated quality complaints may result in immediate restriction while investigated. Cooperation does not prevent either party from pursuing rights with the Department of Trade and Industry, National Privacy Commission, courts, or another competent authority.
12. Independent contractor status
You operate an independent trade or business and are not our employee, worker, agent, partner, franchisee, or legal representative. You have no authority to bind us, make warranties for us, or incur obligations in our name. Subject to accepted Job commitments, law, safety standards, and Platform rules, you control how Services are performed, your tools, personnel, methods, schedule, service area, and lawful pricing.
You are responsible for business expenses, income and other taxes, invoices, permits, employment duties, and benefits. Nothing guarantees minimum leads, revenue, territory, hours, or exclusivity. This clause describes the intended relationship but does not override mandatory Philippine law or the legal effect of the parties’ actual conduct.
13. Prohibited provider conduct
- Submitting forged, altered, expired, borrowed, or misleading credentials or concealing material facts.
- Accepting work while unqualified, impaired, unavailable, uninsured where required, or unable to perform safely.
- Discriminating, harassing, threatening, stealing, trespassing, exploiting vulnerable people, or engaging in unlawful conduct.
- Inflating work, substituting inferior parts without agreement, colluding on prices, manipulating dispatch or location, or falsifying Job records.
- Bypassing Platform safeguards, scraping Customer or Provider data, distributing malware, or using contact data for spam.
- Soliciting an off-platform transaction primarily to evade a fee that was clearly disclosed and applicable to that Job.
- Subcontracting or sharing an account with an unauthorized person.
14. Intellectual property and Provider Content
We own or license the Platform, New Leaf Home Assist branding, software, interface, database compilation, and original content. Your account receives a limited, revocable, non-transferable licence to use Provider tools for legitimate business on the Platform. You may not copy, reverse engineer, resell, frame, or create competing databases from the Platform.
You retain ownership of logos, profile text, photographs, completion evidence, and other content you lawfully submit. You grant us a worldwide, non-exclusive, royalty-free licence to host, format, display, distribute, moderate, analyze, and use that content to operate, secure, evidence, and promote the Platform and your listing. You warrant that the content is accurate, non-infringing, and submitted with required permissions.
15. Suspension, rejection, and removal
We may reject an application; request additional documents; pause, restrict, downgrade, or remove a profile; withhold new leads; remove a badge; or terminate access for expired or invalid credentials, unsafe or unlawful conduct, fraud, serious or repeated complaints, poor completion, non-payment, data misuse, interference, reputational risk, or breach of these Provider Terms. A rejected Provider cannot receive requests. Reconsideration is discretionary and may require corrected documents and evidence.
Where circumstances permit, we will provide a reason and an opportunity to respond or appeal through available support. Immediate action may be taken for urgent safety, legal, fraud, or privacy risk. On termination, complete or safely transfer accepted commitments, return Customer property, preserve required records, and stop using Platform data and marks.
16. Provider responsibility, indemnity, and liability
You are responsible for Services, Provider Personnel, pricing, representations, delays, errors, omissions, injury, loss, property or vehicle damage, regulatory violations, warranties, and Customer remedies arising from your work. To the extent permitted by law, you will defend, indemnify, and hold harmless NEW-LEAF-HOME-ASSIST WEB PORTAL SERVICES and its personnel from third-party claims and reasonable costs arising from those matters, your breach, or your unlawful data processing.
The Platform is provided “as is” and “as available.” We do not guarantee leads, bookings, payment, ranking, demand, uninterrupted operation, Customer conduct, or a business outcome. To the fullest extent permitted by law, our aggregate liability to you arising from the Platform will not exceed the fees you paid directly to us during the three months before the event giving rise to the claim. Neither party excludes liability that cannot lawfully be excluded, including its own fraud, willful misconduct, or gross negligence where applicable.
17. Governing law and disputes
A dispute about quality, pricing, timeliness, warranty, damage, or Services should first be addressed directly with the Customer. New Leaf Home Assist may facilitate communication but is not required to arbitrate or guarantee an outcome. For any dispute involving a Provider, User, or New Leaf Home Assist, the parties should first contact us in writing and attempt good-faith resolution.
If unresolved within thirty (30) days, the matter is governed by and interpreted under the laws of the Republic of the Philippines, and legal action shall be brought before the appropriate courts of the Philippines. We may suspend or restrict access while a dispute is investigated. Mandatory regulatory, consumer, labor, and privacy remedies remain available.
18. Changes, notices, and contact information
We may update these Provider Terms to reflect law, safety, fees, payment arrangements, or Platform functions. Material changes will be notified reasonably and applied prospectively, with renewed acceptance where required. Notices may be delivered by email, SMS, push, in-app message, or account posting using your current details.
