1. Agreement and operator
These Terms & Conditions (“Terms”) are a binding agreement between you and NEW-LEAF-HOME-ASSIST WEB PORTAL SERVICES (“New Leaf Home Assist,” “we,” “our,” or “us”), the Philippine business that owns and operates the New Leaf Home Assist website, platform, and future mobile application. By accessing the Platform, creating an account, submitting a request, contacting or engaging a Provider, posting content, or using a future booking or payment function, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
2. Definitions
“Platform” means New Leaf Home Assist websites, apps, portals, tools, communications, AI functions, and related services. “User” means a visitor, homeowner, tenant, motorist, customer, account holder, or other person seeking assistance. “Provider” means an independent individual or business offering home, vehicle, roadside, emergency, or related services. “Service Request” includes an enquiry, diagnosis, match, quote request, booking, or emergency request. “User Content” means text, reviews, photographs, video, audio, documents, and other material submitted to the Platform.
3. Eligibility and accounts
You must be at least 18 years old and legally capable of entering a contract, or use the Platform through a parent, guardian, or authorized representative. You must provide accurate, current information, keep credentials confidential, and promptly update details. You are responsible for activity under your account unless caused by our breach. Notify us immediately of suspected unauthorized access.
One person may not impersonate another, create deceptive accounts, evade restrictions, or use another person’s contact, property, vehicle, payment, or location information without authority. Business users represent that they can bind the organization they identify.
4. Platform role and service relationship
New Leaf Home Assist is a technology platform that helps Users describe problems, receive AI-assisted information, discover and communicate with independent Providers, and, when enabled, request, schedule, book, pay for, review, and manage services. We do not directly perform home repairs, maintenance, roadside assistance, locksmith, plumbing, electrical, towing, cleaning, pest control, roofing, automotive, or similar work.
Providers are independent and are not our employees, agents, partners, franchisees, or representatives. A contract for onsite work is between the User and Provider. The Provider controls the manner and means of work, is responsible for quotations, workmanship, personnel, tools, licences, insurance, safety, warranties, taxes, and legal compliance. Verification or a badge is not a guarantee of quality, current credentials, suitability, or outcome.
5. Service requests, matching, and future bookings
You must describe the issue, location, urgency, access conditions, hazards, and relevant property or vehicle details accurately. Matches, rankings, response times, availability, estimates, and arrival times are informational and may change. A request is not accepted until a Provider confirms it. You may compare Providers and decide whether to engage one.
When booking becomes available, displayed scope, price, schedule, cancellation terms, and Provider-specific terms form part of the transaction. Changes should be documented in the Platform where possible. Users must provide safe and lawful access, secure pets and hazards, obtain owner or building permission, and be present or appoint an authorized adult. Providers may refuse unsafe, unlawful, misdescribed, or out-of-scope work.
6. Emergency and AI-assisted features
The Platform is not a substitute for police, fire, ambulance, disaster response, medical care, utility emergency lines, or other official emergency services. If life, safety, fire, gas, electrical, flood, crime, or serious roadside danger is involved, contact the appropriate emergency authority first and move to safety when possible.
AI diagnoses, transcriptions, DIY suggestions, parts guidance, urgency assessments, and cost estimates are generated from limited information and may be incomplete or wrong. They are not professional engineering, medical, legal, safety, mechanical, or trade advice. Do not undertake work beyond your competence or ignore manufacturer instructions, permits, utility rules, warning labels, or professional advice. See our Disclaimer.
7. User obligations and prohibited conduct
You agree to use the Platform lawfully, respectfully, and only for genuine personal or business needs. You must not:
- submit false, misleading, fraudulent, duplicate, discriminatory, defamatory, obscene, threatening, or unlawful information;
- harass, exploit, endanger, discriminate against, or improperly record a Provider, customer, staff member, or third party;
- request illegal work, misuse emergency functions, manipulate ratings, arrange payment fraud, chargebacks, theft, or off-platform conduct intended to evade agreed fees;
- upload malware, infringing content, unnecessary sensitive data, or another person’s data without authority;
- scrape, reverse engineer, overload, probe, bypass security, automate access without permission, or interfere with Platform operation;
- copy Provider lists, use the Platform to recruit users for a competing directory, or misuse contact details for unsolicited marketing.
8. Communications and location services
By supplying contact details and using a Service Request, you authorize transactional communications about security, diagnosis, matching, arrival, booking, payment, review, support, and provider verification by email, SMS, telephone, push notification, or in-app message. Marketing choices are addressed in the Privacy Policy. Carrier and data fees may apply.
If you enable location, we may use it to identify service areas, show nearby Providers, support navigation, and dispatch help. GPS and mapping information can be delayed or inaccurate; verify the destination and use safe judgment. Providers receive only information reasonably needed for an accepted or assigned request.
9. Future payments, fees, cancellations, and refunds
If Platform payments are introduced, we may use a third-party payment processor and charge disclosed service, booking, subscription, cancellation, processing, or other fees. Before confirmation, the Platform will show material amounts and applicable Provider terms. You authorize charges you approve and must maintain a valid payment method. Taxes, parts, parking, tolls, permits, diagnostics, after-hours work, or changed scope may be additional when disclosed or agreed.
Provider quotations and Platform estimates may differ from the final price. Users should approve material changes before work proceeds. Refunds, cancellations, no-shows, deposits, disputes, payouts, and chargebacks will follow the policy presented for the transaction and mandatory Philippine consumer law. Nothing in these Terms removes a non-waivable statutory right. We may withhold, reverse, or delay transactions reasonably connected with fraud, disputes, safety, sanctions, or legal obligations.
10. Reviews, ratings, and User Content
Reviews must reflect genuine first-hand experience and be relevant, factual, and respectful. We may moderate, investigate, reject, remove, or label content that violates these Terms, privacy, intellectual property, court orders, or Platform integrity, but we are not obliged to pre-screen all content. Providers may respond through available functions. We do not promise that every review is accurate.
You retain ownership of User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for formatting and accessibility, display, distribute, moderate, analyze, and use it to operate, improve, secure, and promote the Platform. This licence lasts while reasonably needed for those purposes, subject to privacy law. You represent that you have the rights and permissions required for content you submit.
11. Intellectual property
The Platform, brand names, logos, interface, software, databases, selection and arrangement of content, and original materials are owned by NEW-LEAF-HOME-ASSIST WEB PORTAL SERVICES or its licensors and protected by Philippine and international laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose. No ownership is transferred. You may not reproduce, sell, sublicense, frame, create derivative works from, or commercially exploit protected material without written permission, except where law permits.
12. Data protection and account security
Our processing of Personal Data is described in the Privacy Policy. You must collect, use, and disclose another person’s information only as necessary and lawful. Do not publish private addresses, identity documents, payment credentials, or confidential communications. We use reasonable safeguards but cannot guarantee that internet transmission or storage is completely secure. You are responsible for securing your device and account and for evaluating links or communications that claim to be from us.
13. Suspension and termination
We may restrict, suspend, remove content from, or terminate access where reasonably necessary to investigate or address fraud, safety risk, unlawful activity, non-payment, repeated complaints, breach of these Terms, interference with the Platform, legal requirements, or risk to users or reputation. Where appropriate, we may give notice and an opportunity to respond. You may stop using the Platform and request account deletion, subject to records we lawfully retain. Provisions concerning payment, content licences, intellectual property, liability, indemnity, disputes, and retained data survive termination.
14. Disclaimers and limitation of liability
The Platform is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not guarantee uninterrupted access, a match, provider availability, response or arrival time, identity, licensing status, price, service quality, workmanship, safety, fitness for purpose, or a particular outcome. Users engage Providers at their own discretion and should independently assess qualifications, scope, price, insurance, and safety.
To the fullest extent permitted by Philippine law, New Leaf Home Assist and its owner, personnel, and suppliers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive loss; lost profit, revenue, opportunity, data, or goodwill; property or vehicle damage; personal injury; delay; third-party conduct; or an unavailable service arising from Platform use or Provider services. Where liability cannot lawfully be excluded, our aggregate Platform-related liability will not exceed the greater of fees you paid directly to us for the transaction giving rise to the claim or ₱1,000. This limitation does not exclude liability that cannot be limited by law, including liability arising from our fraud, willful misconduct, or gross negligence where applicable.
15. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless NEW-LEAF-HOME-ASSIST WEB PORTAL SERVICES and its personnel from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use, breach of these Terms, User Content, infringement of rights, misrepresentation, unsafe premises or vehicle, or transaction with a Provider. This does not require indemnification for our own fraud, willful misconduct, or liability that law does not permit us to exclude.
16. Governing law and disputes
If a dispute arises between a User, Provider, or New Leaf Home Assist, the parties should first attempt to resolve it informally by contacting New Leaf Home Assist in writing. If it is not resolved through good-faith discussions within thirty (30) days, the matter is governed by and interpreted under the laws of the Republic of the Philippines. Any legal action arising from or relating to the Platform shall be brought before the appropriate courts of the Philippines. We may suspend or restrict access while a dispute is investigated.
A dispute about workmanship, pricing, timeliness, warranties, damage, or services performed should first be addressed directly between the User and the independent Provider. We may facilitate communication but are not required to arbitrate or guarantee any transaction or outcome. Nothing here prevents urgent injunctive relief or a complaint to a regulator, and mandatory consumer rights remain unaffected.
17. Changes and general terms
We may revise these Terms for new functions, legal requirements, safety, or operational changes. Material changes will be reasonably notified and apply prospectively from the stated effective date; renewed acceptance will be obtained where required. If a provision is unenforceable, it will be limited to the minimum necessary and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without consent; we may assign them with the business or Platform, subject to law. These Terms, the Privacy Policy, applicable Provider Terms, booking terms, and disclosed transaction rules form the agreement about Platform use.
